5. Trainer Platform Agreement

This Trainer Platform Agreement (“Trainer Agreement”) is offered by Interwebx LLC, a Florida limited liability company and operator of PlayGoOn (“PlayGoOn”), to the adult individual or training business applying to use PlayGoOn as a Trainer (“Applicant”). It supplements the Terms of Service. Before this Agreement becomes effective, the person or business remains an Applicant. After it becomes effective, that person or business is referred to as the “Trainer.” If there is a conflict regarding Trainer services, this Trainer Agreement controls while it is effective.

The Applicant must review and accept this Agreement through a separate affirmative action before submitting a Trainer application. Acceptance is the Applicant’s offer to enter this Agreement. Acceptance alone does not create Trainer status, grant Trainer access, or make this Agreement effective. The Agreement becomes effective only when PlayGoOn records the application as approved. If an application is rejected, withdrawn, or abandoned before approval, this Agreement does not become effective. PlayGoOn retains application and legal-acceptance information as described in the Privacy Policy.

1. Applicant and independent Trainer

The individual accepting must be at least 18 years old, have reached the age of legal majority where they live, and be the Applicant or be authorized to bind and administer the Applicant’s training business. Initial-beta onboarding and Trainer services through PlayGoOn are adults only.

Before approval, the Applicant is not a PlayGoOn Trainer and may not present the application or acceptance as approval or authority to act for PlayGoOn. After this Agreement becomes effective, the Trainer provides services as an independent provider, not as a PlayGoOn employee, worker, agent, partner, franchisee, or representative. Trainer has no authority to bind PlayGoOn. This description does not override any classification required by applicable law.

After approval, Trainer controls whether, when, where, and how to offer services, subject to applicable law, facility rules, customer agreements, these terms, and the other PlayGoOn policies Trainer accepts. Trainer is responsible for business expenses, equipment, transportation, assistants, permits, licenses, insurance, taxes, and required filings. Nothing guarantees leads, bookings, revenue, hours, territory, or continued access.

PlayGoOn is a technology platform. It does not employ Trainers; control their services; organize or supervise Activities or participants; inspect facilities or equipment; continuously monitor Activities; provide emergency or medical services; or assume a Trainer’s duty of care. Trainers, Clubs, organizers, facilities, and participants remain responsible for Activity safety and their respective obligations.

2. Application and qualification review

Applicant must provide accurate legal and display names, date of birth for adult eligibility, contact information, experience, qualification or certification information, services, pricing, availability, locations, and business information requested by the application. Date of birth is processed separately from the application and public profile. Initial-beta Trainer onboarding does not request or collect government-issued identity documents, identity evidence, selfies, liveness data, or biometric templates. PlayGoOn does not perform criminal background checks during the initial beta.

Every Applicant must submit at least one authentic qualification document, and approval requires PlayGoOn to accept at least one qualification document. Formal certification is optional, but an Applicant who claims a certification must submit evidence supporting that claim. Applicant must use the designated private upload controls and must not submit qualification files through profiles or ordinary messages.

Qualification evidence is kept in private, access-controlled storage and screened for malware before ordinary application review. Evidence identified as unsafe or unsuitable for review may be rejected or isolated while PlayGoOn addresses the security issue. Access is limited to specifically authorized PlayGoOn personnel or contractors who need it for application review, security, support, or legal compliance and who are subject to confidentiality and least-privilege requirements. The Privacy Policy describes collection, access, retention, deletion, and security practices.

PlayGoOn may request changes or more information, pause review, approve an application, or reject it. Qualification review considers the application information and evidence available under the criteria applicable at the time. An accepted qualification document means only that PlayGoOn accepted the document for the application review. Application review, approval, a profile, badge, credential notation, insurance statement, or listing is not an identity verification, background check, safety certification, endorsement, inspection, or guarantee of identity, competence, safety, insurance, licensing, legal compliance, or future conduct.

3. Obligations after approval: professional standards and safety

The obligations in this section begin only when this Agreement becomes effective. Trainer must keep profile, service, availability, location, pricing, experience, qualification, certification, insurance, and business claims accurate and current. Trainer must promptly correct or disclose expired, suspended, revoked, restricted, or materially changed credentials and any legal restriction that affects Trainer’s authority to provide the listed services.

Trainer will:

  • provide services competently, safely, professionally, and within the scope of qualifications;
  • evaluate participant readiness appropriately without practicing medicine unless legally authorized;
  • maintain current CPR or first-aid certification where required or represented;
  • inspect the immediate training area and equipment for reasonably observable hazards;
  • follow emergency, concussion, heat, weather, safeguarding, and facility procedures;
  • avoid abusive, discriminatory, sexual, exploitative, or boundary-violating conduct;
  • obtain required permissions for photos, recordings, and testimonials;
  • maintain accurate attendance, cancellation, and incident records; and
  • report serious incidents through appropriate emergency, facility, insurance, and PlayGoOn channels.

The Service is strictly for adults age 18 and older. Trainer may not offer services to, create an account for, or invite a minor through PlayGoOn. Minor accounts and youth participation are not supported.

4. Listings, pricing, and external arrangements

After approval, Trainer is responsible for listing accuracy, services, prices charged outside PlayGoOn, taxes, locations, availability, prerequisites, equipment, cancellation terms, refunds, chargebacks, and customer support for Trainer’s external arrangements.

Initial beta includes PlayGoOn features that let players discover Trainers, view coaching availability, request coaching, and coordinate acceptance, scheduling, rescheduling, and related messages. A request, acceptance, or scheduled coaching session through PlayGoOn coordinates a potential service arrangement between the player and Trainer; PlayGoOn is not the Trainer, service provider, employer, agent, or party responsible for performing the coaching service.

PlayGoOn does not process Trainer payments or subscriptions during the initial beta. Trainer is responsible for service descriptions, prices, taxes, cancellation and refund terms, chargebacks, and customer support, whether a coaching arrangement is coordinated through PlayGoOn or an external link. Any payment occurs outside PlayGoOn and is governed by the Trainer’s and payment provider’s applicable terms. Displaying or using an external booking or payment link does not make PlayGoOn a party to that external transaction.

Any future PlayGoOn payment, subscription, or fee feature requires updated terms or an addendum that Trainer expressly accepts before using it. A material change to PlayGoOn booking functionality that changes Trainer rights or obligations also requires updated terms or an addendum. No fee-circumvention restriction applies unless it is clearly stated in a later agreement or order form that Trainer expressly accepts.

5. Player information, confidentiality, and conduct

After approval, Trainer may use player information received through PlayGoOn only to respond to requests, provide services, support safety, maintain legally required records, and communicate as reasonably expected. Trainer must keep nonpublic player information confidential and must not sell it, scrape it, use it for unrelated marketing without consent, or disclose it except as authorized or legally required.

Trainer must secure devices and accounts and notify PlayGoOn promptly at support@playgoon.com of suspected unauthorized access involving PlayGoOn information. Trainer must treat players professionally and comply with the safety, privacy, anti-harassment, anti-discrimination, anti-exploitation, and boundary requirements in the Terms and Community Guidelines. Trainer must not request government-issued identification, medical records, or payment-card information through ordinary messages.

6. Content and intellectual property

Applicant and Trainer retain ownership of submitted content and grant PlayGoOn the license stated in the Terms to process the application and, after approval, operate and promote the listing. Applicant and Trainer represent that content, qualification evidence, and credential claims are authentic and authorized.

After approval, Trainer may use approved PlayGoOn marks solely to identify an active profile or badge accurately. Trainer may not imply employment, agency, certification by PlayGoOn, Club affiliation, exclusivity, sponsorship, background clearance, or guaranteed safety.

This is a general intellectual-property complaint channel and is not represented as notice to a registered Digital Millennium Copyright Act agent. This Agreement does not provide Trainer with a reciprocal intellectual-property indemnity from Interwebx LLC.

7. Insurance

After approval, Trainer must maintain commercially reasonable insurance appropriate to the services and all coverage required by applicable law, including workers’ compensation or automobile coverage when legally required. Trainer must not claim to have coverage that is expired, cancelled, insufficient for the claim made, or otherwise inaccurate.

PlayGoOn does not verify insurance during the initial beta, and an application, approval, badge, profile, or insurance statement does not guarantee coverage. This Agreement establishes no numeric coverage minimum and does not require Trainer to name PlayGoOn as an additional insured. Any later requirement must be disclosed in an updated agreement or order form before it applies.

8. Early Access fees and taxes

PlayGoOn Early Access has no fixed end date and is free unless PlayGoOn and Trainer expressly agree otherwise. PlayGoOn does not collect platform, Trainer, Club, or Activity fees through the initial-beta Service. PlayGoOn may modify, suspend, or discontinue Early Access or a feature.

A future paid plan or optional premium feature may apply only after at least 30 days’ advance notice and Trainer’s express agreement to the applicable plan, price, billing frequency, renewal terms, and cancellation terms. Free Early Access participation does not authorize an automatic charge. Trainer remains responsible for taxes and classification obligations arising from Trainer’s business.

9. Term, suspension, and termination

This Trainer Agreement does not bind an Applicant merely because it is available to read. Applicant or an authorized representative must separately accept the applicable legal documents before submission. Acceptance remains associated with the exact Applicant, application, and document version, but this Agreement becomes effective only when PlayGoOn records the application as approved.

Before approval:

  • a request for changes or more information keeps the application pending and does not make this Agreement effective;
  • a resubmission remains part of the same application when PlayGoOn permits it and may require renewed acceptance if a legal document has changed;
  • rejection ends the pending application without making this Agreement effective;
  • withdrawal ends the Applicant’s pending request without making this Agreement effective; and
  • abandonment does not make this Agreement effective, and eligibility, invitations, drafts, or application access may expire under the rules presented to the Applicant.

After approval, a suspension temporarily disables some or all Trainer access but does not by itself terminate this Agreement unless PlayGoOn says that it does. Revocation withdraws Trainer approval and access and terminates this Agreement when PlayGoOn records the revocation, except for provisions that expressly survive. Termination by either party also ends Trainer access, subject to the Terms and any notice that applies.

Notice, any opportunity to cure, and immediate-action rights are governed by the Terms. PlayGoOn may immediately suspend, revoke, or terminate when the Terms permit, including for a credible safety threat, fraud, illegal conduct, harassment, serious or repeated violations, credential fraud, cybersecurity risk, material risk to PlayGoOn or others, a legal requirement, or a breach that cannot reasonably be cured.

If the Agreement never becomes effective because of rejection, withdrawal, or abandonment, application and acceptance information remains governed by the Terms and Privacy Policy, but post-approval obligations under this Agreement do not attach. If the Agreement becomes effective, Trainer must honor or appropriately cancel outstanding coaching commitments, whether coordinated through PlayGoOn or an external service, and provide refunds for which Trainer is responsible. Provisions concerning accrued coaching obligations, confidentiality, ownership, disclaimers, liability, indemnity, and disputes survive suspension, revocation, or termination when their nature or express terms require survival.

10. Disclaimers, indemnity, and liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PLAYGOON DOES NOT GUARANTEE CLIENTS, REVENUE, FACILITY ACCESS, PAYMENT, USER CONDUCT, OR CONTINUOUS AVAILABILITY. NOTHING IN THIS AGREEMENT EXCLUDES A WARRANTY THAT CANNOT LAWFULLY BE EXCLUDED.

After this Agreement becomes effective, Trainer will defend, indemnify, and hold harmless Interwebx LLC and its affiliates, owners, officers, employees, contractors, and agents from third-party claims to the extent caused by Trainer’s services, conduct, content, credential claims, taxes, business, injuries connected to training, legal violations, or breach of this Agreement. Trainer does not have to indemnify an indemnified party for that party’s own negligence, gross negligence, reckless or intentional misconduct, unlawful conduct, or liability that applicable law does not permit another party to shift. No indemnification obligation arises while the person or business remains only an Applicant.

To the maximum extent permitted by law, PlayGoOn will not be liable for indirect, special, consequential, exemplary, or punitive damages or lost profits, revenue, data, or goodwill. This does not exclude or limit liability that cannot lawfully be excluded or limited, does not state that PlayGoOn can never be sued, and does not eliminate access to a court. This Agreement does not establish a fixed monetary liability cap.

11. Disputes and general terms

Florida law applies. Subject to rights that applicable law does not permit a party to waive, exclusive jurisdiction and venue are in the appropriate Florida state courts serving Pasco County, Florida, or the United States federal courts serving Pasco County, Florida, consistent with the Terms. This Agreement does not require arbitration and includes no arbitration provider, opt-out, or class-arbitration provision. Notices to PlayGoOn may be sent to support@playgoon.com and Interwebx LLC, 3020 Girvan Drive, Land O’ Lakes, FL 34638.

This Trainer Agreement, the Terms, Privacy Policy, Community Guidelines, Participant Risk Acknowledgment and Liability Waiver, and applicable future order forms are the entire agreement concerning Trainer’s platform participation.

Electronic acceptance record requirements

Before submission, Applicant or an authorized representative must take a separate, affirmative action accepting each presented agreement and waiver and a separate action acknowledging the presented Privacy Policy. Acceptance controls must not be preselected or bundled together. PlayGoOn records the following for each accepted or acknowledged document:

  • the accepting user’s account ID;
  • role or context, including Applicant or Trainer identifier when applicable;
  • policy or document ID and immutable version;
  • content hash and archive reference;
  • the document’s effective date;
  • time of acceptance;
  • displayed acknowledgment and affirmative action;
  • application version; and
  • superseded or withdrawn status.

The acceptance process also records Applicant’s legal name, training business name if any, application ID, application revision, actor capacity, and confirmation of authority. These records do not activate Trainer access. Only PlayGoOn’s approval of the application can do that. The Privacy Policy describes retention and related processing.
